The following terms and conditions (the “Program Terms”) apply to Choate’s Air Conditioning and Heating, Inc.’s (“Choate’s”) Refer-A-Friend Program (the “Program”). Any references to the “Company,” “We,” “Us,” or “Our” refers to Choate’s. Any reference to “you” is a reference to the participating customer. Choate’s Refer-A-Friend Program is available to anyone who is interested in qualifying for payment bonuses by referring friends and/or family to Choate’s for eligible service repairs and/or equipment purchases. These Program Terms govern participation in the Program.

1. To be eligible for the Program (a “Qualified Customer”), you must meet the following criteria:

   • a. A natural person (i.e., no businesses, legal entities or pets) residing in and located in Tennessee, Mississippi or Arkansas;
   • b. A current Fam Plan member, prior Choate’s customer or prospective Choate’s customer;
   • c. Employees of Choate’s are not eligible;
   • d. Your account with Choate’s must be in good standing, i.e., you cannot have an unpaid balance owing to Choate’s; and
   • e. Your consent to and compliance with these Program Terms.

2. Everyone who is eligible to participate in the Program will receive a link or code that they should provide to the person whom they are referring to Choate’s. If you are not a current customer, you must secure a code from Choate’s prior to the referred customer making a purchase from Choate’s. No referrals will be paid for referrals provided after an Eligible Service is purchased, i.e., the estimate for the Eligible Service is signed.

3. The referred customer will access the Program referral site via the link or provide the code to Choate’s when booking their estimate for an “Eligible Service.”

4. An “Eligible Service” includes the following:

   • (1) a complete new HVAC system (furnace, coil and condenser);
   • (2) a tankless water heater;
   • (3) a sewer replacement valued over $7,500.00;
   • (4) an electrical generator;
   • (5) an HVAC A/C Coil;
   • (6) an HVAC furnace;
   • (7) an HVAC condenser unit;
   • (8) an HVAC air duct cleaning;
   • (9) a tank water heater;
   • (10) a full priced HVAC tune-up;
   • (11) a service call that exceeds $350.00; or
   • (12) a customer joins the Choate’s Fam Plan.

5. In the event the referred customer purchases an Eligible Service, the Eligible Service is then performed by Choate’s and the referred purchasing customer pays for the Eligible Service in full, then the referring Qualified Customer will receive payment as follows:

   First Referral:

   • 1. a $250.00 Visa® card payment for a new HVAC complete system, an electrical generator and a tankless water heater;
   • 2. a $100.00 Visa® card payment for a new HVAC A/C coil only, a new HVAC furnace, a new HVAC condenser unit;
   • 3. a $50.00 Visa® card payment for an HVAC air duct cleaning and a new tank water heater;
   • 4. a $25.00 Visa® card payment for a full price HVAC tune-up or joins the Choate’s Fam Plan.

   Second Referral:

   • 5. a $500.00 Visa® card payment for the second referral of a new HVAC complete system, an electrical generator or a tankless water heater.

   • 6. There are no increased benefits for a new HVAC A/C coil only, a new HVAC furnace, a new HVAC condenser unit, an HVAC air duct cleaning, a new tank water heater, a full price HVAC tune-up or joins the Choate’s Fam Plan.

6. All Visa® card payments Choate’s makes to a referring Qualified Customer will be paid within thirty (30) days of the referred customer’s payment to Choate’s in full for the completed Eligible Service job.

7. By participating in the Program, you represent that you have a personal relationship with anyone whom you refer to Choate’s and that you have their permission to share and submit any of their information to Choate’s for purposes of Program participation.

8. By participating in the Program, you represent that you will comply with all applicable laws, rules and regulations.

9. Under no circumstances is Choate’s allowing or granting you or anyone a license to use Choate’s trademarks, copyrights, name, image, logo, intellectual property or likeness. Under no circumstances should you or anyone repost, link, recreate, replicate or otherwise exhibit Choate’s trademarks, copyrights, name, image, logo, intellectual property or likeness on any social media page without Choate’s express written consent and permission. Choate’s will prosecute any person or entity who uses its trademarks, copyrights, name, image, logo, intellectual property, likeness or any other legally protected property or right.

10. The following is a non-exhaustive list of activities that are not permitted and that will disqualify you from the Program, including, but not limited to:

    • (i) self-referral;
    • (ii) fake names, accounts, profiles,
    • (iii) any bulk email distribution list that might constitute or appear to constitute unsolicited commercial email or "spam";
    • (iv) posting your referral link or code on any website that is not owned and controlled by you, including, but not limited to, any merchant, Instagram, TikTok, Etsy, Facebook, Twitter/X, blog pages, forum pages, Craigslist, Ebay, etc.;
    • (v) placement of Choate’s logos or mention of Choate’s trademarks or tradenames in any ads;
    • (vi) paid advertising;
    • (vii) misrepresenting your relationship with Choate’s or posing as Choate’s representative, agent, employee, partner or owner;
    • (viii) taking any action or making any content that is disparaging or defamatory to Choate’s or that Choate’s deems to be unrepresentative of its values.

11. Choate’s reserves the right to modify or terminate the Refer-A-Friend Program and any payments springing therefrom at any time, with or without notice to you, and at its sole discretion. Moreover, Choate’s reserves the right to withhold, deny or cancel any payments if, in its sole discretion, it deems any Program participation as fraudulent, abusive, unethical, suspicious or otherwise inconsistent with the Program’s Terms or any other applicable law or regulation. All interpretations of the Program Terms will be at Choate’s sole discretion and its decisions will be final.

12. Nothing contained herein is intended to create a partnership, employee/employer relationship, agency relationship, contractor relationship or any other business relationship between Choate’s and its customer for purposes of this Program. This Program is strictly a potential bonus or perk to Choate’s current customers for being a Choate’s customer. No legal rights are intended to be created by this Program.

13. For as long as the Program is in effect, a referring customer will be limited to a maximum of ten (10) referral payments per calendar year.
